1. Introduction

2. Use of Platform

1. Business Purpose: "Sky Shop Mart" is an e-commerce platform where manufacturers can sell their products, and customers can purchase them.

2. National and International Sales: We support the sale and delivery of products both within India and internationally, subject to the import/export regulations of the respective countries.

3. Account Registration: Manufacturers and buyers must create a valid account to use the platform.

3. Terms for Manufacturers

1. Verification: All sellers must be verified through KYC (GST, PAN, bank details, company registration).

2. Product Responsibility: Sellers are entirely responsible for the quality, authenticity, and legality of the products they list.

3. Delivery & Shipping:

   • For domestic (India) and international orders, sellers must use Sky Shop Mart’s partner logistics or their own logistics.
   • Delivery timelines and shipping policies should be clearly communicated to the customer.

4. Return & Refund Policy: If a product is found to be defective or incorrect, the seller must comply with the platform’s return and refund policy.

5. Platform Commission: The company will charge a predetermined commission on each successful sale, details of which will be available in the seller's dashboard.

4. Terms for Customers

1. Orders & Payments:

   • Customers are obligated to make payments within the given timeframe after placing an order.
   • All payments will be processed through secure gateways.

2. Delivery & Shipping:

   • Delivery times for national and international orders are estimated and depend on the seller and shipping partner.

3. Returns & Refunds:

   • If a product is found defective or does not match its description, customers can request a return/refund as per the platform’s return policy.
   • Returns will not be accepted for digital products and certain special categories.

4. Prohibited Activities:

   • Customers must not engage in fraudulent activities, post false reviews, or participate in any illegal actions.

5. International Trade Compliance

1. Customs & Taxes:

   • For international orders, customs duties, import taxes, and other applicable charges will be borne by the customer.

2. Restricted Countries & Products:

   • Some products may be restricted for sale in certain countries. Sellers and buyers must comply with local import/export laws.

6. Intellectual Property Rights

1. Brand & Content:

   • All designs, logos, content, and text available on "Sky Shop Mart" are copyrighted and owned by the company.

2. Seller’s Responsibility:

   • Sellers must ensure they do not infringe upon third-party copyrights or trademarks.

7. Platform Liabilities & Limitations

1. Service Availability:

   • While we strive to keep our website and services running smoothly, technical issues, server downtime, or external factors may cause disruptions.

2. Disclaimer:

   • Sky Shop Mart is merely an online platform and will not be directly responsible for disputes between buyers and sellers.
   • However, our support team will always be available to assist in dispute resolution.

   • Customer and seller data will be kept secure and will not be shared with third parties without consent.

2. Cookies & Tracking:

   • Our website may use cookies to enhance user experience.

9. Dispute Resolution

1. Dispute Resolution Process:

   • Any disputes between customers and sellers should first be attempted to be resolved through mutual discussion.
   • If unresolved, the dispute will be handled through arbitration as per the company’s policy.

2. Legal Jurisdiction:

   • Any disputes arising from this agreement will be settled in the courts of [Rajgarh (Sadulpur), Churu], India.

Dropshipped and Dropshipping: Refers to sending products directly from the Supplier to the End Customer on behalf of a Retailer.

End Customer: The final customer of a Retailer to whom the products are to be dropshipped.

Cost: The price set by the Supplier for the products, which will be charged to Retailers, excluding transaction fees, taxes, and shipping costs.

Retail Price: The suggested retail price that the Supplier may recommend to Retailers as the selling price for End Customers.

Sign-Up Form: The online registration form completed by Retailers, which may include certain commercial terms, fees, and service features.

Personal Data: Any information or data that alone or in combination with other information relates to an identified or identifiable natural person, such as name, identification number, location data, online identifier, etc.

Privacy Laws: Any law, statute, or regulation related to data protection, privacy, and the processing of personal data.

Products: The products listed by the Supplier through the Service for sale.

Retailer: The entity registering as a Retailer on the Skyshopmart Platform to receive dropshipping or wholesale services.

Retailer Order: An order placed by a Retailer on the Skyshopmart Platform to purchase products from the Supplier.

Services: The services provided by Skyshopmart to Retailers.

Shipping Price: The fee set by the Supplier on the Skyshopmart Platform for shipping products to End Customers.

Skyshopmart Platform: Skyshopmart’s online marketplace, where Retailers can purchase products directly from Suppliers and sell them via dropshipping or wholesale.

Supplier: A Supplier who lists products on the Skyshopmart Platform for Retailers to sell on their online stores through dropshipping or wholesale.

Total Fees: The total cost of a Retailer Order, including product cost, shipping fees, transaction fees, and applicable taxes.

User: Any employee, contractor, or agent of the Supplier authorized to use the Skyshopmart Platform.

Marketplace and License Terms

Skyshopmart Platform as a Marketplace

The Skyshopmart Platform is an online marketplace that allows Suppliers to list their products for Retailers to display in their online stores and sell directly to End Customers. Skyshopmart does not buy, sell, manage, control, or dropship any products. If a Retailer places an order for dropshipping, the contract is directly between the Retailer and the Supplier. Skyshopmart is not a party to these contracts and does not act as an agent for either Retailers or Suppliers.

Provision of Service

Subject to this Agreement, Skyshopmart will provide the Service to the Retailer on a non-exclusive, non-transferable basis for business use.

Use Guidelines

Retailers shall not:

1. Sell, rent, lease, or transfer the Service to a third party.

2. Interfere with or disrupt the Service’s performance.

3. Attempt unauthorized access to the Service.

4. Disclose benchmarking results without Skyshopmart’s prior consent.

Restrictions

Retailers (or any third party) shall not:

1. Modify, reverse-engineer, or create derivative works of the Service.

2. Bypass usage limits or restrictions.

3. Remove Skyshopmart’s branding, labels, or trademarks.

4. Use the Service to develop a competing product or service.

Service Changes by Skyshopmart

Skyshopmart reserves the right to modify, suspend, or discontinue the Service at any time without prior notice. The Service may be unavailable due to maintenance or technical issues. Skyshopmart may update information and materials on the Platform without prior notice.
